Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the SP3ND.shop website and services (collectively, the "Service"). SP3ND.shop ("SP3ND," "we," or "us") is a crypto-first e-commerce concierge service operated as a U.S.-based business SP3ND.SHOP LLC. By using our Service or placing an order, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

Eligibility: You must be at least 18 years old to use SP3ND.shop. By using the Service, you represent and warrant that you are 18 or older and fully capable of entering into a legal agreement.

Our Service: Crypto Concierge Purchasing

SP3ND.shop allows you to purchase products from third-party retailers using cryptocurrency. You provide us with a URL of a product you wish to buy, and we facilitate the purchase on your behalf:

• Crypto Payment: You pay us the cost of the item (and any applicable taxes/shipping) in cryptocurrency (currently SOL or USDC on the Solana blockchain). We will provide you with the exact payment amount and a wallet address for the transaction.
• Purchase on Your Behalf: Once we receive your crypto payment, we will use it to purchase the product from the third-party seller (e.g., an online store) as your agent. We are not the manufacturer or seller of the product; the original retailer remains the seller of record.
• No Wallet Services or Custody: We do not provide wallet or custodial services. We will never ask for your private keys, and we do not hold your funds except to immediately process your payment for the order. All payments you send are used for fulfilling your order (plus our fees) and are not stored by us as a deposit or balance.
• No Peer-to-Peer Transfers: Our Service is not a marketplace for users to exchange funds or goods with each other. You cannot use SP3ND to send money or items to other individuals. The Service is solely to facilitate purchases from legitimate retailers on your behalf.

Placing Orders

When you submit an order request, you must provide accurate information:

• Product URL: Ensure the link to the product is correct and the item is available for purchase. Double-check the item details (such as size, color, quantity) on the retailer’s site before submitting the URL to us.
• Shipping Information: Provide a valid shipping address where the product should be delivered. We ship globally where possible, but it is your responsibility to ensure that the item can legally be shipped to your location and that you provide all necessary details (correct name, address, postal code, etc.).
• Order Confirmation: After you submit a request, we will verify the item's availability and calculate the total price, including the retail price, any sales taxes or VAT, shipping costs, and our service fee (see Fees below). We will then provide you with the amount of cryptocurrency required and instructions for payment. All prices are in U.S. Dollars for reference, but payment is made in the cryptocurrency equivalent.
• Payment: You must send the exact quoted amount in the specified cryptocurrency (SOL or USDC on Solana) to the wallet address we provide. Do not send any other type of cryptocurrency or use a different blockchain network, or your payment may be lost. It is your responsibility to cover any network transaction fees for sending crypto (Solana network fees are typically very low).
• Payment Timing: Cryptocurrency transactions are typically fast, but network conditions can vary. We will consider a payment "received" after it has the required confirmations on the blockchain. If we do not receive the payment within a reasonable time (for example, if you delay payment and the item’s price or availability changes), the order may not be fulfilled as quoted. In such cases, we will contact you to either requote the order or issue a refund of the payment you sent.
• No Changes After Payment: Once you have paid and we have begun processing the order, you cannot change the product, shipping address, or other details. Please review your order carefully before making payment.
